1. Introduction and Agreement

Welcome to complybox.eu. These Terms and Conditions ("Terms") form a legally binding agreement between you (the "User", "Client", or "Organization") and complybox.eu ("we", "our", "us"). By accessing or using the complybox.eu platform, software, websites, or associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or do not agree to these Terms, you must not accept this agreement and may not use the Service.

2. Description of the Service

complybox.eu provides a cloud-based Software-as-a-Service (SaaS) platform intended to facilitate secure, encrypted, and anonymous whistleblowing, compliance reporting, and case management. The platform is designed to assist organizations in complying with the EU Whistleblower Directive (Directive (EU) 2019/1937), GDPR, and other applicable regulatory frameworks.

We reserve the right to modify, update, or discontinue the Service (or any part thereof) with or without notice at any time. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

You are solely responsible for safeguarding the passwords and encryption keys associated with your account. Because complybox.eu uses end-to-end encryption (E2EE), we do not have access to your encryption keys and cannot recover encrypted data if you lose your keys. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Acceptable Use Policy

You agree not to use the Service in any manner that:

• Violates any local, state, national, or international law or regulation.
• Infringes upon or violates our intellectual property rights or the intellectual property rights of others.
• Is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, or otherwise objectionable.
• Attempts to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
• Uploads or distributes viruses, malware, or any other malicious computer code.

5. Data Privacy, Encryption, and Confidentiality

Data privacy is central to our Service. We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. For organizational clients, complybox.eu acts as a Data Processor, and the Client acts as the Data Controller.

All whistleblower reports and related communications are protected using end-to-end encryption. complybox.eu infrastructure cannot decrypt or access the contents of these reports. The anonymity of the whistleblower is technically enforced, provided the whistleblower does not voluntarily disclose their identity.

6. Intellectual Property Rights

All rights, title, and interest in and to the Service, including all software, design, text, graphics, logos, and the underlying source code, are and will remain the exclusive property of complybox.eu and its licensors. These Terms do not grant you any right, title, or interest in the Service, others' content in the Service, complybox.eu trademarks, logos, and other brand features.

7. Fees and Payment

Access to certain features of the Service requires payment of subscription fees. Fees are billed in advance on a recurring basis (e.g., monthly or annually) depending on the subscription plan you choose. All fees are non-refundable except as required by law. We reserve the right to change our pricing upon reasonable notice to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPLYBOX.EU, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.

Our total liability for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us to use the Service in the twelve (12) months preceding the claim.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the European Union and the Republic of Cyprus, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Cyprus for the purpose of litigating all such claims or disputes.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
